BYLAWS OF THE SUN CITY ORO VALLEY
INSTITUTE OF LEARNING IN RETIREMENT
ARTICLE I – NAME
The name of the club is Institute of Learning in Retirement (SCOVILR). The abbreviation of ILR or the “Club” may be used in place of the full official name.
ARTICLE II – MISSION
The mission of the ILR is to provide a broad range of educational opportunities to its members and the residents of Sun City Oro Valley primarily through offering courses and presentations. The organization is member-driven and dedicated to enhancing the lives of its members by providing information in an environment that leads to lively discussion of topics of interest. In addition, support may be given to the SCOV Library, updating SCOV equipment and facilities used for educational purposes, as well as outreach to local non-profit and educational organizations.
ARTICLE III – AUTHORITY AND LIMITATIONS
The ILR will operate within the rules set by the Sun City Oro Valley Community Association Incorporated (SCOVCAI).
ARTICLE IV – MEMBERSHIP
Section 1 – Membership is open to all SCOV residents including renters. The one-time initiation fee is lifelong. If an ILR member moves outside of Sun City, the member can elect to continue membership, although former resident participation is limited to 20% of total Club membership.
Section 2 – All membership dues and program fees will be set by the ILR Board of Directors. “The Board” may be used in place of the full official name.
Section 3 – Club business is conducted by The Board. Major issues such as election of officers, the expenditure of significant funds from the treasury, or changes in the bylaws will be brought to the membership for a vote. Voting may be accomplished by means of an email vote or by calling a meeting of the membership.
Section 4 – Voting for officers will take place by March 31 each year.
ARTICLE V – OFFICERS
Section 1 – The officers of The Board will consist of the following: President, Vice-President, Secretary, Treasurer, and Registrar. Two persons may share any officer position and will share one vote. No officer may hold more than one office at a time.
Section 2 – All elected officers will be elected for a two (2) year term and may be re-elected. President, Secretary, and Registrar will be elected in even-numbered years. Vice-President and Treasurer will be elected in odd-numbered years. If an officer is not able, or is unwilling, to complete the term a replacement may be appointed by The Board.
ARTICLE VI – NOMINATIONS AND ELECTIONS
Section 1 – The Board or a nominating committee will put together a slate of officers for each election. Elections will be open to the Club’s full membership.
Section 2 – The full membership will be given an opportunity to name nominees. All potential candidates for office must give their approval prior to having their names submitted for nomination.
Section 3 – Elections may be held either at a general membership meeting or by email balloting. Outcomes are determined by a majority, one more than half, of votes received by the due date.
ARTICLE VII – GOVERNING BODY
Section 1 – The Board officers and the Members-at-Large constitute the governing body.
Section 2 – The Board may appoint Members-at-Large as deemed necessary to meet the working needs of The Board. Members-at-Large are voting members of the Board. Regardless of when a Member-at-Large is appointed, their term will end when the President’s term concludes.
Section 3 – It is the duty of The Board to conduct, manage and control the affairs and business of the ILR, having been given the authority by the general membership through the election process.
Section 4 – MEETINGS: The Board will meet as necessary and will announce these meetings to the membership. Meetings are open to all Club members. Special meetings of The Board may be called at any time by the President or by two (2) elected officers.
Section 5 – QUORUM: A quorum is fifty percent (50%) plus one of The Board’s voting officers and Members-at-Large. This number must be present for a vote. If a tie vote exists and cannot be resolved, the vote will go to the membership to decide.
Section 6 – VACANCIES: The Board may appoint members to fill vacancies on The Board which may occur between elections, except in the case of resignation of the President, whereupon the Vice-President automatically assumes that office.
Section 7 – All Board members, upon retiring from office, will deliver all records, procedure books, and other property belonging to the ILR, to their successors, within two (2) weeks following the end of their term.
ARTICLE VIII – DUTIES OF OFFICERS
Section 1 – PRESIDENT: The President is the chief administrator of the ILR and presides over all meetings. The President is an ex-officio member of all committees and will appoint the committee chairs, as well as assign persons with other duties.
Section 2 – VICE-PRESIDENT: The Vice-President assists the President and will, in the absence of the President, perform the duties of that office.
Section 3 – SECRETARY: The Secretary records Board meeting minutes and any full membership meeting. In addition, the Secretary will prepare and submit monthly material to the Tipster.
Section 4 – TREASURER: The Treasurer is responsible for securing and properly recording Club revenues and expenses. The Treasurer pays all bills owed by the Club and will reimburse others for approved Club expenditures. The Treasurer maintains the Club’s checking account and any existing investment(s). The Treasurer will provide an up-to-date financial report at each Board meeting and when requested by the President.
Section 5 – REGISTRAR: The Registrar maintains the current membership list, compiles the lists of program attendees and makes them available to the appropriate individuals.
ARTICLE IX – FISCAL AND FINANCE
Section 1 – The Club’s fiscal year is July 1 – June 30.
Section 2 – An audit will occur at the end of each term of the Treasurer.
Section 3 – No single expenditure in excess of $5000 (five thousand) dollars can be made by The Board without the approval of The Club membership.
Section 4 – No member of The Club may receive compensation for services rendered without Board approval.
ARTICLE X – PARLIAMENTARY AUTHORITY
Robert’s Rules of Order may be used as the method for conducting business in ILR meetings. However, historically, the Rule of Consensus of the Body has been the method most frequently employed by the ILR Board. Either method of conducting business is acceptable upon agreement by the current body and the presiding officers.
ARTICLE XI – AMENDMENTS
Section 1 – These bylaw may be amended by a two-thirds vote of the voting (2/3) Club members either through email ballot or voting at an official meeting, provided that written notice of the proposed changes or proposed new bylaws have been sent to the membership or posted at least one (1) week prior to the vote.
Section 2 – No amendments to these bylaws may be considered which are contrary to the Club mission or purposes as intended by SCOVCAI.
ARTICLE XII – DISSOLUTION
In the event of dissolution of the Club, all assets will be donated to SCOVCAI or the Sun City Community Foundation. Dissolution will not be initiated until all outstanding debts are satisfied. The Club President may direct the use of any and all assets to satisfy outstanding debts. If dissolution is contemplated, the membership must be notified at least two (2) weeks in advance of the meeting date for the dissolution, time and place, to accomplish dissolution.
